An LLC resolution records a company decision or authorization attributed to members, managers, or another authorized decision-maker. SafeNotarize can notarize an eligible signature on a completed resolution without interpreting the operating agreement or deciding who may bind the company.
An LLC resolution is a written record of a decision or authorization made for a limited liability company. It may be called a member resolution, manager resolution, written consent, company resolution, banking resolution, borrowing resolution, or authorization resolution. The terminology depends on the company’s operating agreement, management structure, governing law, and recipient.
Common topics include banking, loans, real estate, contracts, vehicles, and authorized representatives. The resolution should identify the LLC, the decision, the authorized person, any limits, and the effective date.
SafeNotarize does not draft the resolution or decide whether it was properly approved. We notarize the signature of an eligible individual who appears in the online session. Company approval, voting, consent, and authority remain matters for the LLC and the receiving organization.
LLC resolutions frequently appear in banking, lending, contracting, real estate, vehicle, insurance, licensing, and vendor transactions. A financial institution may require its own banking resolution. A title company may request authority for a manager to sign closing documents. A vehicle agency may ask for company ownership and representative documentation. A lender may require a borrowing resolution and supporting guaranty records.
The signer may be the sole member, one or more members, a manager, an officer, or another authorized representative. The appropriate signer depends on the prepared document and company authority. A non-signing owner, employee, or bookkeeper should not be inserted merely because that person is available.
The signer appears as an individual and uses personal identification. The signature block should show the LLC’s exact legal name and the signer’s representative capacity. SafeNotarize identifies the person; it does not certify ownership, membership percentage, manager appointment, or transaction authority.
The recipient or prepared document determines whether an acknowledgment, jurat, oath, or another notarial act is requested. A resolution that records company action may use an acknowledgment, while a related certification or affidavit may require an oath or affirmation. SafeNotarize cannot choose a legal form for the customer.
The signer must complete identity verification and present acceptable government-issued photo identification. The individual name should be consistent with the signature and notarial certificate. Representative-capacity wording can identify the signer as a member, manager, officer, or other representative for the named LLC, but it does not prove the person’s authority.
Witness requirements vary. A customer-provided or SafeNotarize-provided witness is separate from the notary. Review online witness participation and identification preparation before the session.
SafeNotarize provides an online notarization session for an eligible completed LLC resolution. The signer uploads the final document, completes identity verification, meets the online notary through live audio-video communication, and signs or acknowledges the record as instructed.
SafeNotarize notarizes signatures. We do not create the resolution, interpret the operating agreement, confirm the signer’s ownership or management status, verify company records, or determine whether the action binds the LLC. We do not provide legal, tax, banking, securities, or corporate-governance advice.
Requirements vary by state, entity type, management structure, governing documents, transaction, and receiving organization. Confirm the requested form, signer, certificate, witnesses, and delivery format before booking. The Power of Attorney hub and Affidavit Notary guide explain related but different document categories.
